Background

National Insurance Company of Ethiopia S.C. (NICE) was established in 1994 and is a pioneer of the privately owned Insurance Companies in Ethiopian. It provides conventional and innovative Non-Life (General) insurance products and services through its well-located 43 Branches and 7 Contact offices situated in Addis Abeba and different parts of the country.

Job Title:       Company Secretary - Full time job

Job Grade:      13

Report to:      Functionally to Board of Directors and Administratively to CEO

Location:       Addis Ababa, Co’s Head Office.

1.      Education:          

Min. 1st Degree and above in Law, Management, Business, Economics and other related social science fields.

 

2.      Work experience          

Min. 8 years out of which, Min. three years as Secretary to Board of Directors.

 

3.      Main Duties and Responsibilities:

  • Organize and keep information and records of the company;
  • Provide reports and other necessary information promptly to concerned body;
  • Provide information to shareholder and third parties;
  • Organize Full Board and Board S-Committee Meetings and accordingly take minutes.
  • Organize Shareholders General Assembly, take minutes and follow-up its approval. 
  • Prepare Board Annual Action Plan and follow-up its actual implementation.
  • Follow-up pending issues and periodically present its status to board.
  • Prepare different board related reports and correspondences.
  • Organize and keep safely Board Office related documents.
  • Prepare and publish board minute index.
  • Prepare and regularly update shareholders registry.
  • Other tasks assigned to the post & to be given by the Board & Memorandum of Association.

 

 

 

 

 

 

 

 

4.      Experience:        

  • Proven experience in crafting Board and AGM agendas and minutes.
  • Experience in minute taking and Management of Board Office of a financial institutions. Preferably, in Insurance and Banking sectors.
  • Possess good knowledge of meeting procedures and report writing skills.
  • Knowledge of corporate governance, compliance and annual reports.

 

 

5.      Skill and Self Orientation

  • Excellent computer, typing and meeting gadgets skill.
  • Proficiency in English and Amharic languages, speaking & writing.
  • High integrity, loyalty and discrete personality.
  • Agile, self-motivated and self-initiator.

6.      Salary:               Negotiable with Package Benefits

 

7.      Terms of employment:  Permanent.
